Rick
Spurr - Chief Executive Officer, Chairman of the Board, & Chief Operating Officer
Rick D. Spurr joined ZixCorp in January 2004 as President and Chief Operating Officer. In March 2005, he was promoted to his current position as Chief Executive Officer, and in February 2006 was voted Chairman of the Board. Mr. Spurr brings 30 years of global IT experience in building sales, marketing, and operations departments in corporate, fast-growing environments. Prior to joining ZixCorp, he served as Senior Vice President, Worldwide Sales, Marketing & Business Development for Securify, Inc. From 1974 to 1990, Mr. Spurr worked for IBM where, as Regional Manager, he was responsible for more than 1,000 employees, and as Tokyo Group Director, for a $1.2 billion USD business throughout the Asia Pacific Region. Mr. Spurr then assisted in taking two start-ups, SEER Technologies, Inc. and Entrust, Inc., through successful IPOs. Under his leadership, both companies increased revenue more than eight-fold in three years, with Entrust, Inc.'s revenue topping $148 million a year. |

Barry W. Wilson - Chief Financial Officer & Treasurer
Barry W. Wilson joined ZixCorp in November 1989 and has worked in a variety of accounting and finance department functions, including two years as the Corporate Controller prior to being named the company’s Chief Financial Officer. Mr. Wilson left the company in May 1998 as part of the divestiture of certain businesses and returned in May 2001, during which time he was Chief Financial Officer at Airco Industries. Prior to originally joining ZixCorp, Mr. Wilson held a variety of accounting and finance department positions at Armstrong World Industries, Inc. and Wood & Fence Products Co., Inc. Mr. Wilson is a licensed Certified Public Accountant with a degree in accounting from Point Park University, Pittsburgh, PA. |

Ronald
A. Woessner - Senior Vice President, General Counsel, & Secretary
joined our company in April 1992 as General Counsel, when we operated under the name “Amtech Corporation” (NASDAQ: AMTC) and sold and serviced radio frequency identification technologies (RFID) for electronic toll and traffic management, local access control, and other applications, and has served as Senior Vice President and corporate Secretary since 2000. He was previously a corporate and securities attorney with the Dallas-based law firm of Johnson & (Swanson) Gibbs, P.C., where he specialized in public and private equity and debt financings, mergers and acquisitions, and leveraged buy-outs. Mr. Woessner holds a compliance and ethics professional certification from the Society of Corporate Compliance and Ethics and is a summa cum laude graduate of Texas A&M University, where he received a Bachelor of Science degree, and is a magna cum laude and Order of the Coif graduate of the University of Minnesota Law School, where he served on the Minnesota Law Review. He is also a certified Toastmaster by Toastmasters International. |

J. Morgan - Vice President, Client Services
Russell J. Morgan joined ZixCorp in September 2002 and serves as Vice President, Client Services. From February 1997 until August 2002, he worked at Entrust, Inc. where he held a variety of senior management positions, including Director, Professional Services, and Senior Director, Entrust.net. At Entrust, Mr. Morgan was responsible for founding and building the Professional Services organization and building and operating a WebTrust certified secure data center for issuing digital certificates to business customers. Prior to joining Entrust, Mr. Morgan held a number of key management positions at Lockheed Martin, where he specialized in secure messaging and military command and control systems. Mr. Morgan is a professional engineer with over 20 years experience in delivering customer-focused technology solutions. |

J. Robertson - Vice President, Engineering
David J. Robertson joined ZixCorp in March 2002 and serves as Vice President, Engineering. Mr. Robertson has over 20 years of experience in the telecommunications and Internet industries, with specific expertise in network architecture, security and protocols, PBX and Key System design in circuit and packet environments, and broadband and cellular access systems. He has also worked extensively in product areas involving 802.11, DECT, and other unlicensed wireless access standards. Mr. Robertson has contributed to the early stages of Telecommunications Standards’ definition for the Unlicensed Wireless Industry in the U.S. and Canada, and to the finalization of the ADSI standard for enhanced telecommunications carrier service deployment. He participated in pioneering efforts toward end-to-end voice quality standards for Quality of Service in many wireline and wireless domains. He is a member of multiple company advisory boards and serves with the City of Richardson Chamber of Commerce. |

Nigel Johnson - Vice President, Business Development & Product Management – Email Encryption
Nigel Johnson joined ZixCorp in April 2004 and is Vice President, Business Development & Product Management for the company’s Email Encryption business. He uses his 20 years of IT security expertise to develop ZixCorp’s OEM channel and to set the development direction for the company’s Email Encryption Service. Prior to joining ZixCorp, Mr. Johnson held senior positions at Entrust Inc., including Vice President, Product Management and Vice President, Business Development. He previously worked at Nortel, where he developed classified military communications security systems and received many awards and a patent for his work. Mr. Johnson earned his Bachelor’s Degree in Electrical Engineering from Carleton University. |

William J. Kadonsky - Vice President, Business Operations
William J. Kadonsky joined ZixCorp in March 2004 and serves as Vice President, Business Operations. Mr. Kadonsky is responsible for the company’s sales operations/sales support teams, business processing units and the ZixResearch Center™. He is focused on improving organizational efficiency and expanding ZixCorp's revenue generation capability. He has held senior technical and management positions with security companies including Entrust, Inc. where he served as Vice President and General Manager, Entrust@YourService, a PKI managed services business unit. He was previously President of Practical Software Solutions, Inc., a technology and management consulting firm. Kadonsky also served as an analyst at the National Security Agency and holds a CISSP security certification. |

Kirk
Paul Kirkman - Vice President, Physician Recruitment & Retention
Kirk Paul Kirkman joined ZixCorp in August 2004. Prior to ZixCorp, Mr. Kirkman worked for Amicore, a joint venture between Pfizer, Microsoft, and IBM focused on providing electronic medical record software to physician groups. At Amicore, he served as Vice President, Sales and head of customer care. Prior to Amicore, he was Vice President, Sales & Marketing for Helvoet Pharma, where he was responsible for building the sales organization and associated infrastructure during a period of rapid growth. Previously, he was Manager, Marketing Information Systems for Independence Blue Cross. Mr. Kirkman earned his Bachelor's Degree in Business Administration from Northeastern University and his Master's in Business Administration from The Pennsylvania State University. |

Geoff Bibby - Vice-President, Corporate Marketing
Geoff Bibby joined ZixCorp in September 2003 and serves as Vice-President of Corporate Marketing. Mr. Bibby has responsibility for all aspects of overall corporate marketing. He has served several roles within the ZixCorp e-Prescribing business including Director of Marketing and Director of Physician Utilization. Mr. Bibby has over 15 years of experience in high tech marketing. Prior to ZixCorp, he spent 6 years at Entrust Inc., an internet security vendor with his last position at Entrust being Marketing Director for Entrusts European operations. Mr. Bibby holds a Bachelor of Commerce Degree with Honors in Marketing from the University of Guelph. |

Lesniak - Vice President, Sales & Marketing – Email Encryption
Jim Lesniak joined ZixCorp in March 2004 and serves as Vice President, Sales & Marketing for Email Encryption. Mr. Lesniak is responsible for national sales and marketing of email encryption and content filtering solutions in the healthcare, financial, government, and insurance verticals. In addition, he is responsible for market expansion opportunities across industries and growth through channel sales partnerships with referral partners, value-added resellers, and managed service providers. He brings more than 20 years of experience in sales and management with technology companies, including 15 years with IBM and roles with Entrust Technologies, Credant Technologies, and Securify. He holds a Bachelor's Degree in Management and Marketing from the University of North Texas. |

Brent Sanders - Vice President, Sales & Marketing – e-Prescribing
H. Brent Sanders joined ZixCorp in August 2004. Mr. Sanders joined ZixCorp from IntegiMED, where he served as Vice President and Chief Business Development Officer, responsible for building and launching the company’s sales and service organizations. Prior to IntegriMED, he was President and Chief Executive Officer of Task Technologies, where he recruited and developed the company’s senior management, operations, finance, sales, marketing, and human resources teams. Mr. Sanders has also held various business development positions at Kelson Pediatric Partners, Renal Disease Management, Inc., and Rehability Corporation/WorkHealth Healthcare, Inc. In 2001, Ernst & Young LLP nominated him for the prestigious "Entrepreneur of the Year" award. He holds a Bachelor’s Degree in Business Management from Furman University. |

Peter Wilensky - Vice President, Corporate Development & Government Affairs
Peter Wilensky joined Zix Corporation in October 2003 and serves as Vice President, Corporate Development and Government Affairs. Wilensky is responsible for the company’s M&A and corporate financing activities, investor and security analyst relations and government relations. His previous roles at the company include responsibility for the ZixCorp’s Corporate Communications and Corporate Finance, and he served as Director of Business Operations for ZixCorp’s e-Prescribing business. Prior to joining ZixCorp, he was a Principal at Windsor Group, LLC, a boutique investment bank specializing in M&A and corporate finance, and has also worked at several consulting firms. Wilensky earned a Bachelor’s degree in Economics from Harvard University and a Master’s in Business Administration from the Wharton School at the University of Pennsylvania. |

Robert C. Hausmann
Robert C. Hausmann was elected to ZixCorp’s Board in November 2005. He is currently a consultant to public and private companies with respect to operational and financial market matters, including Sarbanes-Oxley and systems and process re-engineering. Formerly, Mr. Hausmann served as Vice President and Chief Financial Officer of Securify, Inc. from September 2002 through June 2005. From September 1999 through September 2002, Mr. Hausmann serviced as Vice President and Chief Financial Officer of Resonate, Inc. and helped manage the company’s initial public offering. Previously, he served as operations partner and chief financial officer of Mohr, Davidow Ventures, a Silicon Valley based venture capital partnership. Mr. Hausmann holds a Master’s in Business Administration from Santa Clara University and a Bachelor’s Degree in Finance and Accounting from Bethel College.
Charles N. Kahn, III
Charles N. Kahn was elected to ZixCorp’s Board in June 2005. He is currently President of the Federation of American Hospitals, the national advocacy organization for investor-owned hospitals and health systems. Previously, he served as Executive Vice President and President for the Health Insurance Association of America. As a staff director for the Health Subcommittee of the House Ways and Means Committee from 1995-1998, Mr. Kahn helped bring about HIPAA and the Medicare provisions of the 1997 Balanced Budget Act. In addition to teaching health policy at Johns Hopkins University, George Washington University, and Tulane University, he has numerous academic and advisory appointments. He earned a Bachelor’s Degree from Johns Hopkins University and a Master’s Degree in Public Health from Tulane University.
James S. Marston
James S. Marston was elected to ZixCorp’s Board in September 1991. From September 1987 through February 1998, Mr. Marston served as a Senior or Executive Vice President and the Chief Information Officer of APL Limited, a U.S.-based intermodal shipping company. Between 1986 and 1987, Mr. Marston served as President of AMR Technical Training Division, AMR Corporation. From 1982 until 1986, he was Vice President, Data Processing & Communications for American Airlines, in which position he was in charge of the Sabre reservations system and related technologies.
Antonio "Tony" R. Sanchez III
Antonio "Tony" R. Sanchez III was elected to our Board in May 2003. He has served as President of Sanchez Oil & Gas Corporation since March 2006, and prior to that he served as Executive Vice President since October 2001. He is a graduate of Georgetown University, where he received a Bachelor of Science Degree in Business Administration with a concentration on Accounting and Finance and a minor in Economics. Mr. Sanchez also holds an MBA degree from Harvard University. From 1997 through 1999, he was employed as an analyst in the mergers and acquisitions group in the New York City office of JP Morgan. From 1999 through 2001, he worked at our company in a variety of positions, including sales and marketing, product development and investor relations. He is currently involved in the day-to-day operations of Sanchez Oil & Gas Corporation.
Paul E. Schlosberg
Paul E. Schlosberg was elected to ZixCorp’s Board in June 2005. He brings nearly 30 years of experience in investment banking. He is the Founder, Chairman, and CEO for INCA Group LLC. He is also a member of the NASDAQ listing qualifications committee, an advisor to three private investment funds, and member of the boards of The Center for BrainHealth at the University of Texas at Dallas and the American Heart Association’s Dallas chapter. From 1994 to 2003 Mr. Schlosberg served in various capacities at First Southwest Asset Management and First Southwest Company, including Chairman and CEO, President and Chief Operating Officer, and Vice Chairman of the Board of Directors. From 1982 to 1994, he worked for Bear, Stearns & Co. as Account Executive and Associate Director. He earned a Bachelor’s Degree from the University of Texas and a Master’s Degree from Southern Methodist University.
